Terms & Conditions

Effective date: July 9, 2026

These Terms & Conditions (“Terms”) govern access to and use of DigiVision Live websites, association workspaces, participant portals, and related services (the “Services”). By accessing or using the Services, you agree to these Terms. If you are accepting on behalf of an organization, you represent that you have authority to bind that organization.

1. Definitions

  • “Association Customer” means an organization that maintains a DigiVision Live workspace or otherwise contracts for platform access.
  • “User” means any individual who accesses the Services, including administrators, staff, speakers, participants, and visitors.
  • “Customer Content” means content, data, and materials submitted to the Services by or for an Association Customer or its Users, including program details, registration data, and education records.

2. The Services

DigiVision Live provides association education infrastructure that may include program publishing, registration, live program access, attendance tracking, CE-related workflows, reporting, account administration, and related support features. Feature availability depends on the Association Customer’s plan, configuration, and permissions.

DigiVision may update, improve, or discontinue features with reasonable notice when practical. We will not materially reduce core contracted functionality during an active paid term except as required for security, legal compliance, or circumstances beyond our reasonable control.

3. Accounts and eligibility

Users must provide accurate registration information and maintain the confidentiality of account credentials. Users are responsible for activity under their accounts. Association Customers are responsible for authorizing administrators, managing roles, and ensuring their Users comply with these Terms and applicable law.

The Services are intended for professional and organizational use. You may not use the Services if you are prohibited from receiving services under applicable law.

4. Association Customer responsibilities

  • Ensure programs, communications, and CE-related representations comply with applicable professional, accreditation, and consumer requirements
  • Configure member and non-member access, pricing, and eligibility rules accurately
  • Obtain any consents required to collect and process participant information through the Services
  • Use exported reports and education records in accordance with the Association Customer’s policies and legal obligations
  • Promptly notify DigiVision of unauthorized access or suspected account compromise

5. Participant and speaker use

Participants and speakers may use the Services only for authorized education programs and related account activity. Users may not interfere with program delivery, attempt to access another user’s account, misuse registration or attendance mechanisms, or submit false information.

6. Fees and payment

Association platform fees are described on our Pricing page or in an order form, statement of work, or other written agreement. Unless otherwise stated, subscriptions are billed annually. Fees are non-refundable except as required by law or expressly stated in a written agreement.

Association Customers remain responsible for setting and collecting any program fees charged to participants, except where DigiVision expressly processes payments on the Association Customer’s behalf through integrated payment providers. Taxes may apply.

7. Acceptable use

Users may not use the Services to:

  • Violate law, regulation, or third-party rights
  • Transmit malware, attempt unauthorized access, or disrupt service integrity
  • Upload unlawful, defamatory, or infringing content
  • Harvest personal data beyond authorized program administration
  • Resell, sublicense, or provide the Services to third parties except as permitted in a written DigiVision agreement
  • Misrepresent affiliation with DigiVision or an Association Customer

8. Intellectual property

DigiVision and its licensors own the Services, software, branding, documentation, and related intellectual property. These Terms do not transfer ownership of DigiVision intellectual property.

Association Customers retain ownership of Customer Content. DigiVision receives a limited license to host, process, transmit, and display Customer Content as needed to provide and secure the Services.

9. Confidentiality

Each party may receive confidential business or technical information from the other. The receiving party will use reasonable care to protect that information and use it only for purposes related to the Services, except for information that is public, independently developed, or rightfully received from another source without duty of confidentiality.

10. Privacy

Personal information is handled as described in our Privacy Policy and Cookies Policy. Association Customers are responsible for providing any required notices to their participants regarding program registration and education records.

11. Disclaimers

Except as expressly stated in a written agreement, the Services are provided on an “as is” and “as available” basis. DigiVision does not warrant that the Services will be uninterrupted, error-free, or free of harmful components. DigiVision does not provide legal, accreditation, or professional-licensure advice. Associations remain responsible for CE credit determinations and compliance with applicable education requirements.

12. Limitation of liability

To the maximum extent permitted by law, DigiVision will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption, even if advised of the possibility of such damages.

To the maximum extent permitted by law, DigiVision’s aggregate liability arising out of or related to the Services will not exceed the amounts paid by the applicable Association Customer to DigiVision for the Services during the twelve (12) months preceding the event giving rise to the claim.

13. Indemnification

Association Customers agree to defend and indemnify DigiVision against claims arising from Customer Content, program representations, CE credit decisions, participant disputes related to association-managed programs, or use of the Services in violation of these Terms or applicable law, except to the extent caused by DigiVision’s willful misconduct.

14. Suspension and termination

DigiVision may suspend or terminate access for material breach, non-payment, security risk, unlawful use, or as required by law. Association Customers may stop using the Services according to their agreement terms. Upon termination, access to the workspace may end, and DigiVision may retain records as required for legal, security, or backup purposes.

15. Governing law

These Terms are governed by the laws of the State of Colorado, excluding conflict-of-law rules, unless a signed Association Customer agreement specifies otherwise. Courts located in Colorado will have exclusive jurisdiction over disputes arising from these Terms, except where prohibited by law.

16. Changes

We may update these Terms periodically. Material changes will be indicated by updating the effective date. Continued use of the Services after changes become effective constitutes acceptance of the revised Terms where permitted by law. If an Association Customer has a signed agreement with conflicting terms, that agreement controls.
